Paralegal
Real Estate:
Assist Acting General Counsel with all matters related to real estate transactions.
Assessing and preparing option contracts, lease agreements, lease memorandum, easements, contract addendums, and closing documents.
Perform due diligence including review of title commitments, surveys and underlying title documents and entity documents, coordinate and implement transactions and closings.
Facilitating communication between property owners, lenders, and lawyers.
Prepare closing checklists, critical dates list, closing documents, various affidavits, certificates and resolutions and coordinate and control the closing process for various real estate transactions.
M&A, Project Finance, and Tax Equity:
Provide support in collating and maintaining project finance documentation and corporate documentation, for debt and tax equity financing transactions.
Set up closing extranets and data rooms, preparing and tracking signature pages, preparing, and distributing final closing sets and CDs—and all manner of pre-closing, closing, and post-closing matters.
Prepare corporate legal documents.
Other miscellaneous corporate oriented work.
General Administrative:
Assist with process and adapting procedure as required.
Work closely with our finance team regarding the transfer of closing funds, payments of invoices and legal billing.
